1. Acceptance of Terms
By accessing or using the NoteTeller MSP operations platform (“Service”) operated by NoteTeller(“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
NoteTeller is a cloud-based MSP operations platform that provides ticketing, client and contact management, billing, QuickBooks workflows, asset tracking, backup reporting, compliance tracking, projects, forms, scheduling, and client portal features.
The Service is designed to support operational compliance, auditability, and secure customer support workflows. However, we do not guarantee regulatory compliance — customers are ultimately responsible for meeting their legal, contractual, and industry obligations.
3. Account Registration & Security
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
We offer multi-factor authentication (MFA) and strongly recommend enabling it for all accounts, particularly those with administrative access. You must notify us immediately of any unauthorized use of your account.
4. Subscription & Billing
The Service is offered on a subscription basis with multiple plan tiers (Micro, Starter, Pro, and Enterprise). Current pricing is available on our pricing page.
- Free Trial— Each plan includes a 30-day free trial. Your payment method is collected at signup through Stripe but is not charged until the trial period ends.
- Billing— Subscriptions are billed monthly through Stripe. All fees are non-refundable except as required by law.
- Plan Changes— You may upgrade or downgrade your plan at any time through your account settings. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
- Additional Technicians— Each plan includes a set number of staff accounts. Additional staff accounts beyond the plan limit are billed at the per-technician rate shown on the pricing page.
- Cancellation— You may cancel your subscription at any time. Access continues until the end of the current billing period.
5. Data Ownership & Responsibility
You retain all ownership rights to the data you enter into the Service (“Your Data”). We do not claim ownership of Your Data. We process Your Data solely to provide and improve the Service as described in our Privacy Policy.
You are responsible for the accuracy, legality, and appropriateness of Your Data, including ensuring you have all necessary rights or permissions to enter personal information about clients, contacts, employees, vendors, and staff into the Service.
6. Client & Personal Data
You acknowledge that the Service may process personal information and confidential operational data for your organization, clients, contacts, employees, vendors, and integrations. You are responsible for:
- Obtaining any required consents or permissions before entering personal information into the Service
- Limiting access to authorized users based on job responsibilities
- Responding to valid requests to review, correct, export, or delete personal information
- Complying with applicable privacy, security, contractual, and industry requirements
We act as a service provider processing your data on your behalf and at your direction.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations
- Share account credentials or allow unauthorized persons to access the Service
- Attempt to circumvent security measures, including row-level security or authentication controls
- Upload malicious content, malware, or content that infringes intellectual property rights
- Use the Service to store data unrelated to legitimate business operations
- Interfere with or disrupt the Service or its infrastructure
- Resell or redistribute the Service without written authorization
8. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, apply updates, or modify features at any time. We will make reasonable efforts to notify users of material changes in advance.
Enterprise plans may include a Service Level Agreement (SLA) with specific uptime guarantees. Such SLAs are governed by separate written agreements.
9. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by NoteTeller and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations during the subscription term.
10. Limitation of Liability
To the maximum extent permitted by law, NoteTeller shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
The Service is a management tool and does not replace professional judgment regarding IT operations, customer support, security, compliance, billing, or staffing decisions. You are solely responsible for how your organization uses the Service.
11. Indemnification
You agree to indemnify and hold harmless NoteTeller, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms or engage in conduct that harms other users or the Service.
Upon termination, your right to use the Service ceases. We will retain Your Data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy and applicable legal retention requirements.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New Mexico.
14. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
